Please read them carefully. --- ## 1.0 Agreement to these terms 1.1 By accessing keynodex.com or using the Keynodex Memory service, you agree to these terms. If you do not agree, do not use the services. 1.2 If you use the services on behalf of an organization, you represent that you have authority to bind that organization to these terms. --- ## 2.0 Who we are, and what these terms cover 2.1 The services are published by Keynodex LLC, a Florida limited liability company. 2.2 These terms cover keynodex.com, the Keynodex Memory service, and the Keynodex connectors for supported AI assistants. PingRep products are separate services governed by their own terms at pingrep.com. --- ## 3.0 Accounts and eligibility 3.1 You must be at least 13 years old to use the services. If you are under 18, you may use the services only with involvement of a parent or guardian. 3.2 You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for all activity under your account. 3.3 You must notify us promptly at **security@keynodex.com** if you suspect unauthorized access to your account. --- ## 4.0 Acceptable use 4.1 You agree not to: - 4.1.1 use the services to break any law or infringe anyone's rights; - 4.1.2 upload malware, attempt to gain unauthorized access, probe or overwhelm our systems, or bypass rate limits or access controls; - 4.1.3 store content you do not have the right to store, or use the services to process data you are legally prohibited from processing; - 4.1.4 resell or misrepresent the services; or - 4.1.5 use the services to build a competing dataset or benchmark without our written permission. 4.2 We may suspend or terminate access for violations of this section. --- ## 5.0 Your content and Memory data 5.1 You keep ownership of the content you store, including memories, files, and messages. 5.2 You grant us the limited license needed to operate the services: to store, process, transmit, and display your content to you and to the assistants you connect. This license ends when you delete the content or your account, except for backups and records we must keep by law. 5.3 Your memories are isolated to your tenant. We do not use your content to train Keynodex models or sell it. 5.4 Do not store protected health information if your use requires a BAA or HIPAA-covered workflow. HIPAA support is under review. --- ## 6.0 AI output 6.1 AI-generated output can be wrong, incomplete, or outdated. It is provided for convenience, not as professional advice (legal, medical, financial, or otherwise). 6.2 You are responsible for reviewing output before relying on it, and for how you configure the AI assistants you connect. 6.3 When an assistant retrieves a memory, a copy is returned to that assistant provider and processed under its own terms. See the Privacy Policy, section 4.5. --- ## 7.0 Paid services, billing, renewal, and cancellation 7.1 Paid plans are billed through Stripe. Prices, plan features, and limits are shown at purchase or in the product. 7.2 Subscriptions renew automatically at the end of each billing period until canceled. You can cancel at any time in the product or by contacting us; cancellation stops future renewals. 7.3 Except where required by law, payments are non-refundable. Refund requests are reviewed case by case. 7.4 We may change prices with advance notice. Changes apply from your next renewal unless you cancel. 7.5 Failure to pay may result in suspension or downgrade of paid features. --- ## 8.0 Third-party services 8.1 The services rely on third-party providers (for example hosting, payments, email, and AI model providers) and may link to third-party sites. Their terms and privacy policies apply to their services. 8.2 We are not responsible for third-party services we do not control. --- ## 9.0 Intellectual property 9.1 The services, including the Keynodex and Keynodex Memory names, software, design, and documentation, are owned by Keynodex LLC or its licensors and protected by intellectual property laws. 9.2 These terms grant you a limited, non-exclusive, non-transferable right to use the services for their intended purpose. No other rights are granted. --- ## 10.0 Disclaimer of warranties 10.1 THE SERVICES AND ALL CONTENT, INCLUDING AI OUTPUT, ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYNODEX LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE. --- ## 11.0 LIMITATION OF LIABILITY 11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYNODEX LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES. 11.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (US$100). 11.3 Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these terms limits rights that cannot be limited by law. --- ## 12.0 Indemnity 12.1 You agree to indemnify and hold harmless Keynodex LLC from claims, losses, and expenses (including reasonable legal fees) arising from your content, your use of the services in violation of these terms, or your violation of any law or third-party right. --- ## 13.0 Termination 13.1 You may stop using the services at any time and may request deletion of your account and data as described in the Privacy Policy. 13.2 We may suspend or terminate your access if you materially breach these terms, if required by law, or if we discontinue the services. Where practical, we will give advance notice. 13.3 Sections that by their nature should survive termination — including sections 6, 9, 10, 11, and 12 — survive. --- ## 14.0 Governing law and venue 14.1 These terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. 14.2 The state and federal courts located in the State of Florida have exclusive jurisdiction over disputes arising out of or relating to these terms. 14.3 If you are a consumer in a jurisdiction with mandatory local protections, those protections still apply. --- ## 15.0 Changes to these terms 15.1 We will post changes on this page and update the date above. Material changes take effect when posted with notice in the product or by email where appropriate.
